Terms and Conditions

1. Acceptance of Terms

By submitting the wholesale-registration form (the “Application”) you (“Applicant,” “you,” or “your”) confirm that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”) and Soflo Tableware’s Privacy Policy. If you do not agree, please do not submit an Application.

2. Eligibility

Wholesale accounts are available only to:

  • U.S. businesses holding a valid Employer Identification Number (EIN) or state resale certificate; and
  • individuals 18 years of age or older who have authority to bind the business they represent.
    We may request documentation to verify eligibility and may decline or revoke accounts in our sole discretion.

3. Information Accuracy & Updates

You warrant that all information provided in the Application—company name, billing/shipping addresses, tax-exempt documentation, contact information, and any financial references—is true, complete, and current. You must promptly update your account profile if any information changes. Soflo Tableware is not liable for losses arising from inaccurate or outdated data.

4. Account Review & Approval

Submission of an Application does not guarantee approval. We typically review Applications within 5 business days but may take longer if additional verification is needed. We reserve the right to approve, limit, or deny credit terms, order quantities, and product access at our discretion.

5. Account Credentials & Security

Once approved, you will receive login credentials for a secure wholesale portal. You are responsible for maintaining the confidentiality of your username and password and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

6. Pricing, Taxes & Confidentiality

Wholesale prices, discount schedules, and freight terms are considered confidential. You agree not to disclose them publicly or to third parties without our written consent. All prices are exclusive of applicable sales tax unless a valid resale or exemption certificate is on file. You are responsible for remitting any taxes required by law.

7. Ordering & Payment

Orders are subject to our current Minimum Order Quantities (MOQs) and payment terms posted in the portal or agreed in writing. We accept ACH, major credit cards, and other methods listed at checkout. Late payments may incur a 1.5% monthly finance charge (or the maximum allowed by law).

8. Shipping & Risk of Loss

Title and risk of loss transfer to you upon Soflo Tableware’s delivery of goods to the carrier at our fulfillment center. Delivery dates are estimates; we are not liable for carrier delays or force-majeure events.

9. Returns & Claims

Inspect all shipments upon arrival. Shortage or damage claims must be sent to wholesale@soflotableware.com within 5 days of receipt with photos and packing-list reference. Returns require a Return Merchandise Authorization (RMA) and may be subject to restocking fees.

10. Use of Personal & Business Data

We collect and process the information you provide to:

  • verify your business credentials;
  • administer your account and orders;
  • comply with tax and other legal obligations; and
  • send transactional or marketing communications you can opt out of at any time.

11. Intellectual Property

All content on the Soflo Tableware website—including product images, trademarks, logos, and text—is our property or licensed to us and may not be reproduced without written permission.

12. Limitation of Liability

To the fullest extent permitted by law, Soflo Tableware will not be liable for indirect, incidental, special, or consequential damages arising out of or related to these Terms, even if advised of the possibility of such damages. Our maximum aggregate liability shall not exceed the amount paid by you for the goods giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Soflo Tableware, its officers, employees, and agents from any claim, loss, or demand (including reasonable attorneys’ fees) arising out of your breach of these Terms or violation of any law or third-party rights.

14. Modifications to Terms

We may update these Terms at any time by posting a revised version on the wholesale-registration page. Changes apply to Applications submitted after the “Last Updated” date and to existing accounts after 30 days’ notice. Continued use of your wholesale account constitutes acceptance of the revised Terms.

15. Suspension or Termination

We may suspend or terminate your wholesale account immediately if you breach these Terms, misuse confidential pricing, or engage in fraudulent or illegal activity. Obligations regarding confidentiality and outstanding payments survive termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida without regard to its conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Broward County, Florida, and the parties waive objections to personal jurisdiction and venue in those courts.
